These Terms of Service (Terms) govern your use of Viewlyt, a professional photo delivery and storage platform provided by Arambh Media and Octverce Technologies OPC Private Limited (we, us, or our). Viewlyt is a product of Arambh Media and Octverce Technologies OPC Private Limited.

By accessing or using Viewlyt, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Description of Services

Viewlyt provides professional photographers with tools to securely deliver, store, and organize high-quality photos for their clients. Our services include:

• Photo Upload and Storage: Secure cloud storage for professional photographs
• Client Delivery System: Web and mobile applications for client access
• AI-Powered Organization: Face grouping technology for photo organization
• Desktop Applications: Native apps for Windows, macOS Silicon, and macOS Intel
• Secure Sharing: Controlled access and download capabilities
• Project Management: Tools for organizing and managing photo projects

Our services are designed exclusively for professional photographers and their clients. Personal use of Viewlyt for non-commercial purposes is not permitted.

3. User Eligibility and Account Registration

Eligibility Requirements

• You must be at least 18 years old to use Viewlyt
• You must be a professional photographer or authorized client
• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Immediately notify us of any unauthorized use of your account
• Use strong, unique passwords
• Enable two-factor authentication when available
• Not share your account credentials with others

4. Acceptable Use Policy

Permitted Use

• Use Viewlyt solely for professional photography services
• Upload only photographs you have the right to distribute
• Share projects only with intended clients
• Comply with all applicable laws and regulations

Prohibited Activities

You agree not to:

• Upload illegal, harmful, offensive, or inappropriate content
• Infringe on intellectual property rights of others
• Attempt to reverse engineer or compromise our systems
• Use Viewlyt for any unlawful or fraudulent purposes
• Distribute malware or engage in hacking activities
• Exceed fair usage limits or abuse our services
• Share account access with unauthorized users

Content Standards

All content uploaded to Viewlyt must comply with our content standards. We reserve the right to remove any content that violates these standards or applicable laws.

5. Payment Terms

Viewlyt operates on a pay-as-you-go billing model. Photographers are charged based on the total size of images uploaded and the selected retention period for storage.

Billing Structure

• Storage Charges: Calculated based on the total file size of all images uploaded to your account
• Retention Period: Additional charges apply based on how long you choose to retain your uploaded images
• Pay-as-you-go: You only pay for the storage space and retention time you actually use
• Real-time Billing: Charges are calculated and accrued as you upload images and select retention periods

How Billing Works

When you create a project in Viewlyt Studio:

• Our Viewlyt Studio app calculates the total size of all selected images and estimates charges
• You must complete payment before the project is created and images are uploaded
• Once payment is confirmed, the project is created and images are securely stored
• Additional charges may apply for extended retention periods beyond the initial term

Payment Methods and Billing Cycle

• Supported Payment Methods: Credit cards, debit cards, and other secure payment options
• Billing Cycle: Charges are billed immediately upon upload and retention selection
• Minimum Payments: No minimum balance requirements - pay only for what you use
• Payment Security: All payments are processed through certified third-party providers

Late Payments and Service Suspension

To ensure service continuity:

• Payment must be completed before images are made available to clients
• Unpaid balances may result in temporary suspension of upload capabilities
• Extended non-payment may lead to account suspension or data deletion
• We will send payment reminders and notifications for outstanding balances

Refunds and Billing Disputes

• Refunds: Processed for accidental charges or service issues within 30 days
• Billing Disputes: Must be reported within 60 days of the charge
• Deleted Content: No refunds for charges incurred before content deletion
• Retention Changes: Refunds available if retention period is reduced before expiration

All pricing information and current rates are available in your account dashboard and on our pricing page. We reserve the right to modify pricing with advance notice to existing users.

6. Intellectual Property Rights

Your Content

You retain all intellectual property rights to the photographs and content you upload to Viewlyt. By uploading content, you grant us a limited, non-exclusive license to:

• Store and process your content on our secure infrastructure
• Deliver content to your authorized clients
• Apply AI processing for organization and search purposes
• Generate necessary metadata and thumbnails

Viewlyt Platform

The Viewlyt platform, including all software, designs, trademarks, and intellectual property, remains the exclusive property of Arambh Media and Octverce Technologies OPC Private Limited.

Client Access Rights

When you share a project with clients, you grant them a limited license to view and download the shared content for personal use only. Clients do not acquire any ownership rights to the photographs.

7. AI Processing and Face Grouping

Viewlyt uses artificial intelligence technology for photo organization, including face grouping functionality. This is a core feature of our service.

AI Processing Terms

• Face grouping is essential for photo organization and cannot be disabled
• AI processing is performed anonymously and for organizational purposes only
• Facial data is not used for identification or tracking
• All processing complies with applicable data protection laws
• You consent to AI processing by using Viewlyt

Processing Scope

Our AI processes visual patterns and metadata to create groupings that help organize and search photos more effectively. This processing enhances the user experience but does not create any additional rights or obligations beyond those specified in our Privacy Policy.

8. Privacy and Data Protection

Your privacy is fundamental to our service. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and protect your data.

• We comply with applicable data protection laws including GDPR
• All data is encrypted in transit and at rest
• You control access permissions for your projects

9. Service Availability and Maintenance

• You may download your content within 30 days of termination
• We may delete your data after the grace period expires
• Some obligations under these Terms survive termination
• Outstanding payments remain due upon termination

11. Disclaimers and Limitations

Viewlyt is provided as is and as available without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties regarding the accuracy or reliability of AI processing
• Warranties of data preservation or recovery

Limitation of Liability

To the maximum extent permitted by law, Arambh Media and Octverce Technologies OPC Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Viewlyt, including but not limited to loss of profits, data, or business opportunities.

12. Indemnification

You agree to indemnify and hold harmless Arambh Media and Octverce Technologies OPC Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your infringement of any third-party rights
• Your misuse of the Viewlyt platform
• Any content you upload or share through our services

13. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India. We encourage amicable resolution of disputes through our support channels before pursuing formal legal action.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the Last Updated date at the bottom of these Terms
• Send notification via email to registered users
• Post a notice on our website

Your continued use of Viewlyt after changes take effect constitutes acceptance of the modified Terms.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Arambh Media and Octverce Technologies OPC Private Limited regarding your use of Viewlyt.
